By accessing or using SpeakWrite’s services, platforms, websites, applications, or systems (collectively, the “Services”), the Purchaser and all authorized users (“Users”) agree to be bound by these Terms of Service (“Terms”). These Terms apply to all use of the Services, whether accessed directly by the Purchaser or by Users authorized under a group or organizational account.
If the Purchaser does not agree to these Terms, the Services may not be used.
The Purchaser is responsible for all activity conducted under its account(s), including activity performed by authorized Users. The Purchaser agrees to ensure that all Users comply with these Terms.
Users must maintain the confidentiality of login credentials, access codes, and authentication mechanisms. The Purchaser must notify SpeakWrite promptly of any unauthorized use or suspected security breach.
SpeakWrite provides transcription and related documentation services as described in the applicable Scope of Services. SpeakWrite does not provide legal advice, investigative analysis, professional judgment, interpretation, verification, or validation of content. All transcripts are produced solely based on the audio, video, or materials submitted by the Purchaser or Users.
The Purchaser is solely responsible for reviewing all completed work for accuracy and suitability prior to use.
The Services may be used only for lawful purposes and in accordance with these Terms. The Purchaser and Users agree not to:
SpeakWrite reserves the right to suspend or terminate access for violations of this section.
Any stated turnaround times are averages and not guarantees. Turnaround time may vary based on audio quality, length, volume, technical issues, or other operational factors.
SpeakWrite does not guarantee uninterrupted or error-free service and may perform maintenance or updates as necessary.
Unless otherwise agreed in writing, SpeakWrite retains audio files and completed transcripts for a default period of ninety (90) days. After the applicable retention period, SpeakWrite may permanently delete stored content.
The Purchaser is responsible for downloading, storing, and backing up all content prior to deletion.
SpeakWrite maintains administrative, technical, and physical safeguards designed to protect client data, as described in the Scope of Services. While SpeakWrite employs reasonable security measures, no system can be guaranteed to be completely secure.
SpeakWrite does not share mobile information with third parties or affiliates for marketing or promotional purposes. All categories of information exclude text messaging originator opt-in data and consent. Such information will not be shared with any third parties.
SpeakWrite may suspend or terminate access to the Services immediately if it determines, in its reasonable discretion, that the Services are being misused, used unlawfully, or used in a manner that poses a security, legal, or operational risk.
The Purchaser may discontinue use of the Services at any time.
The Services are provided “as is” and “as available.” SpeakWrite disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, SpeakWrite shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to use of the Services.
SpeakWrite’s total cumulative liability for any claim shall not exceed the total fees paid by the Purchaser to SpeakWrite during the six (6) months preceding the event giving rise to the claim.
The Purchaser agrees to indemnify, defend, and hold harmless SpeakWrite, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising out of:
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in Texas.
SpeakWrite may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
These Terms, together with the applicable Scope of Services and any written agreements between the parties, constitute the entire agreement between the Purchaser and SpeakWrite regarding use of the Services.
